Hong Kong si rivitalizza in mezzo alla crisi internazionale
Hong Kong's capital markets and Mergers and Acquisitions (M&A) activities have experienced a significant rebound in 2025, attracting a surge of mainland Chinese companies, including large-scale ones, to pursue listings in the city.
The recent changes in Hong Kong's listing rules have played a crucial role in this development. The Hong Kong Stock Exchange (HKEx) has eased the minimum public float requirements for issuers, making it easier for mainland companies to list in Hong Kong. This strategic refinement has facilitated secondary and dual listings for major regional players and large-cap companies.
The decline in the U.S. market appeal for Chinese Initial Public Offerings (IPOs) has also contributed to this trend. The average capital raised in U.S. IPOs plummeted to approximately $50 million in 2024, a sharp decline from over $300 million in 2021. In contrast, Hong Kong's IPO market raised approximately HK$107 billion ($13.6 billion) in the first half of 2025, ranking first globally.
The rebound in Hong Kong's capital markets is primarily driven by domestic Chinese deals, especially accelerated A+H share listings. The increase in A+H listings is due to Chinese companies hedging against U.S. de-listing risks.
Mainland companies favor Hong Kong for listings due to substantial liquidity, strong regulatory systems, and smooth access to domestic markets via programs like Stock Connect. The Stock Connect and Wealth Management Connect schemes have boosted cross-border transactions, further enhancing Hong Kong's appeal.
The HKEx's efforts to attract more mainland companies have not gone unnoticed. Law firms associated with the expansion and resurgence of the legal sector in Hong Kong related to capital markets and M&A activities include Luther Rechtsanwaltsgesellschaft mbH, DLA Piper, Taylor Wessing, and Freshfields. These firms are active in geographic areas including Hong Kong, Singapore, Southeast Asia, Europe (Germany), North America, and China.
Cross-border regulatory expertise has become much coveted in Hong Kong's legal sector, with firms prioritizing cross-border regulatory practices to align with rising M&A activity, particularly in the Greater China market.
However, other Asian financial hubs, such as Shanghai, are increasingly challenging Hong Kong's dominance as Asia's legal hub. Shanghai is competing for domestic Chinese listing and M&A deals, making the competition in the region intense.
Central to Hong Kong's revival strategy are carefully calibrated regulatory changes designed to enhance the Special Administrative Region's (SAR) competitive position while maintaining market integrity. Hong Kong's common law legal system, freely convertible currency, and status as the world's largest offshore RMB liquidity pool facilitate seamless capital flows, making it the preferred launchpad particularly for Southeast Asia and Middle East/Africa investments.
As of the first half of 2025, over 300 listing applications were being processed by the HKEx, indicating robust pipeline activity. M&A activity reached a decade high of approximately HK$470 billion in the first five months of 2025. The Hong Kong Stock Exchange remains the sixth largest globally with a market capitalization of approximately $3.732 trillion.
In conclusion, Hong Kong's capital markets and M&A activities are experiencing a resurgence, driven by strategic regulatory changes, robust pipeline activity, and the city's unique advantages as a financial hub. The competition in the region is intense, but Hong Kong's position as a preferred launchpad for investments in Southeast Asia and the Middle East/Africa, coupled with its strong regulatory systems and access to domestic markets, make it a formidable contender.
